The Honourable Nate Horner Nate Horner was sworn in as the Minister of Finance and President of Treasury Board on June 9, 2023. He previously served as the Minister of Agriculture, Forestry and Rural Economic Development and Minister of Agriculture and Irrigation. Prior to his service as an elected official, Mr. Horner was a rancher with a cow-calf mix farm operation and an avid volunteer in local community organizations. Mr. Horner has his agriculture business diploma from Olds College and his Bachelor of Science in Agriculture from the University of Lethbridge. Mr. Horner was first elected as the Member of the Legislative Assembly for Drumheller-Stettler on April 16, 2019 and was re-elected on May 29, 2023. |

Stan Magidson, KC Mr. Magidson is Chair and Chief Executive Officer (CEO) of the ASC and possesses extensive experience in corporate governance and securities law and regulation. Before joining the ASC in July 2016, he was President, CEO and director of the Institute of Corporate Directors and Chair of the Global Network of Director Institutes. Prior, Mr. Magidson was a partner for 21 years with a national law firm in the business law group where he advised corporate issuers, investors, financial intermediaries and boards of directors across the country on securities law, corporate finance, mergers and acquisitions and corporate governance matters. Mr. Magidson currently serves as Chair of the CSA. The CSA, the council of securities regulators of Canada's provinces and territories, co-ordinates and harmonizes regulation for the Canadian capital markets. Mr. Magidson also currently serves on the international board of the Weizmann Institute of Science and the board of Weizmann Canada. Mr. Magidson holds an LLM in Corporate Law from New York University and an LLB from the University of Ottawa. |

Cynthia J. Campbell Cynthia Campbell leads the Enforcement division of the ASC, which is responsible for discovering, investigating and prosecuting breaches of Alberta securities laws. Through vigorous enforcement action and collaboration with the ASC’s compliance departments, other securities regulators and Canadian and foreign police forces, the Enforcement division seeks to foster investor confidence and promote the integrity of Alberta’s capital market, thereby protecting the investing public. In 2016, the ASC launched a Joint Serious Offences Team with the RCMP, to investigate and prosecute the most serious securities offenders. Prior to joining the ASC, Ms. Campbell served as Associate General Counsel, Litigation and Administrative Law at Alberta Health Services where she provided oversight and strategic counsel on litigation and administrative law matters in connection with civil lawsuits, hearings, fatality inquiries, judicial review, collections and quasi-criminal prosecutions. Between 1999 and 2011, Ms. Campbell worked for the Calgary Police Service, initially providing legal advice on police training, criminal procedure and Charter issues. She then served as employment and labour counsel, with particular emphasis on police selection standards, security screening and breaches, terminations and pre-employment polygraph examinations. After receiving her undergraduate and law degrees from the University of Ottawa, Ms. Campbell clerked for the Honourable Mr. Justice J.C. Major at the Supreme Court of Canada in 1997-98. |

Ryan Clements Ryan Clements is the Director of Advanced Research and Knowledge Management (ARKM) at the ASC. In this role, he leads division initiatives in data governance and analytics, knowledge management and ASC education programs, research and analysis on existing and emerging risks that require regulatory responses, and technology testing in capital markets. He is also currently the Chair of the Canadian Securities Administrators (CSA) Financial Innovation Hub. Prior to becoming ARKM Director, Dr. Clements was an Assistant Professor, Chair in Business Law and Regulation at the University of Calgary Faculty of Law. There he also served as the Managing General Editor, and special fintech co-editor, of the Banking and Finance Law Review. He was also a member of the crypto-asset working group of the Investment Industry Regulatory Organization of Canada (IIROC), the ASC New Economy Advisory Committee, and the CSA Investor Advisory Panel. He also advised various levels of government on fintech, crypto and securities matters, and served on advisory boards of both public and private fintech ventures. Prior to being a law professor, Dr. Clements was a Senior Policy Advisor in the ASC’s New Economy division, and practiced corporate and securities law at large and boutique firms in Calgary and Toronto. Dr. Clements has both a Doctorate in Juridical Science (SJD), and a Master of Laws (LLM), Magna Cum Laude, from Duke University Law School. He also received a Bachelor of Laws (LLB) with Distinction, and Bachelor of Arts Honors in Economics (First Class) from the University of Alberta. He is called to the bar in both Ontario and Alberta. |

Tonya Fleming Tonya Fleming leads the ASC’s Private Markets and Innovation team within the Corporate Finance division. Ms. Fleming’s team is responsible for the review of private market filings and compliance as well as engaging with Alberta’s innovation ecosystem. She works with emerging market participants to help them navigate securities laws when raising capital. Prior to joining the ASC, Ms. Fleming was Vice-President, Corporate Secretary and General Counsel of three TSX-listed energy companies. She also practiced law in the Calgary office of Osler, Hoskin & Harcourt LLP, where she specialized in securities law, mergers and acquisitions and corporate governance matters. Ms. Fleming has extensive industry experience leading and managing the legal needs of public entities. She has strong experience in corporate governance with a comprehensive understanding of the requirements and processes involved. She has regularly provided advice and direction to directors and senior management on proper and effective governance oversight and regulatory compliance. Ms. Fleming is the Vice-Chair of the Board of Governors at the Southern Alberta Institute of Technology (SAIT). She holds a Master of Business Administration and a Bachelor of Laws from Dalhousie University and a Bachelor of Arts (with distinction) from the University of Alberta. She is a member of the Law Society of Alberta. |

Lawrence Korngut Lawrence Korngut is a Neurologist and Professor at the University of Calgary. He serves as the Director of Innovation & Commercialization at the Hotchkiss Brain Institute (HBI) where he facilitates the commercialization of new discoveries and technologies. The HBI is recognized as a top neurotechnology startup creator in Canada contributing to the University of Calgary’s status as the number one startup creator in Canada amongst all academic institutions consecutively for the past three years. He supports HBI scientists and clinicians through the tech transfer process to optimize commercialization success through out-licensing or new company formation. He has contributed to the HBI Innovation Strategy that includes the launch of the MIND Prize ($1M/year x 10 years funding high-risk, high-reward neuroscience research; first funding awarded in 2022) and UCeed Neuro (a University of Calgary-based venture philanthropy fund) where he sits on the Investment Advisory Group of the Health Fund. As an entrepreneur, Dr. Korngut co-founded Lumiio, a successful health data technology startup now operating programs in 18 countries, and OligomicsTx, a preclinical biotechnology company combining innovative delivery mechanisms with their ground-breaking novel RNA-based therapies for rare genetic neuromuscular diseases. |

Chad Langager Chad Langager is the Chief Executive Officer (CEO) of AlphaLayer, where he drives the company’s vision of helping asset managers uncover investment edge with advanced technology, data and AI-driven strategies to gain competitive advantages. Hilary McMeekin Hilary McMeekin leads the Communications & Investor Education team at the ASC. All members of the team are dedicated to helping inform and empower investors, in addition to providing strategic communications counsel and support to all areas of the ASC. Ms. McMeekin is a senior communications practitioner with over 30 years of experience in a variety of sectors and disciplines. Her goal is always to work collaboratively to build and implement relevant communications and engagement programs and respond when appropriate to protect and strengthen an organization’s reputation. Ms. McMeekin’s formal education includes a Bachelor of Arts in Communications Studies and Business from the University of Calgary, a two-year specialty diploma in Public Relations from Mount Royal University, the Canadian Securities Course and professional coaching certification. Additionally, she has won a Gold Quill Award of Excellence and the Jake Whittmer Award for effective use of communications research from the International Association of Business Communicators. Ms. McMeekin is dedicated to contributing to the community and currently serves as a director on The Brenda Strafford Foundation board of directors. |

Martin Petrin Martin Petrin is the Dancap Private Equity Chair in Corporate Governance at Western University, jointly appointed to the DAN Department of Management and Organizational Studies and the Faculty of Law. He is a recipient of Western’s Research Excellence Award. Dr. Petrin’s research interests are in corporate, corporate governance, and business law, often from a comparative perspective. Most recently, his research has focused on corporate theory and regulation, the impact of AI and new technologies, and corporate and managerial liability. Dr. Petrin has published widely in his areas of expertise, including as the author and editor of several books, and is a regular speaker at international conferences. |

Carole Piovesan Carole Piovesan is co-founder and principal at INQ Consulting, focusing her practice on privacy, cyber readiness, data governance and artificial intelligence (AI) risk management. A trained lawyer, she regularly advises clients on a wide range of matters related to privacy, cyber readiness and breach response, data governance, ethical AI and responsible innovation. Ms. Piovesan plays an active role in shaping data law, policy and standards in Canada and globally. She is a member of the OECD.AI Policy Observatory, and has contributed to numerous organizations, including in the Global Partnership on AI; the Global Task Force to Promote Trusted Sharing of Data at the German Marshall Fund of the United States; the Standards Council of Canada’s Data Governance Collaborative; and the National Advisory Council on AI in Healthcare. Additionally, Ms. Piovesan has been featured on a number of renowned media, such as CBC News and The Globe and Mail, and has testified before Canada’s House of Commons Industry Committee on Canada’s draft AI law and Canada’s House of Commons Standing Committee on Access to Information, Privacy and Ethics. She also lectures at the Institute of Corporate Directors and is an adjunct professor at the University of Toronto, Faculty of Law where she lectures on AI regulation. She is the co-editor of “Leading Legal Disruption: Artificial Intelligence” and a “Toolkit for Lawyers and the Law,” published by Thomson Reuters (2021). Ms. Piovesan was appointed by the federal Minister of Innovation to serve as one of six digital leaders in the national data and digital transformation consultations. In this role, she led consultations with businesses, academics, civil society and industry associations to inform the first national Digital Charter, announced on May 21, 2019. |

Katrina Prokopy Katrina Prokopy is General Counsel of the ASC. The Office of the General Counsel provides specialized legal advisory services to the Commission, the Chair, the Executive Director and ASC staff on a broad range of operational, transactional and policy matters. The division provides analysis and advice on emerging issues, as well as guidance to market participants on the interpretation of securities laws and policies. It is also responsible for the corporate secretarial and legislative functions at the ASC. Ms. Prokopy has practiced law in financial services for the past 20 years, working in the legal departments of a number of major financial institutions and investment banks in Canada and the U.S. She has extensive capital markets legal and operational experience, particularly in the areas of equities market structure and fintech. Ms. Prokopy received her Bachelor of Arts (Political Science Honours) from the University of British Columbia and her Bachelor of Laws from Osgoode Hall Law School in Toronto, Ontario. Following law school, she clerked at the British Columbia Court of Appeal for the Honourable Mr. Justice Braidwood and the Honourable Mr. Justice Hollinrake. Ms. Prokopy is called to the bar in British Columbia, Alberta, Ontario, and New York State. |

Samir Sabharwal
Samir Sabharwal has been the Executive Director of the ASC since April 2023. Prior to his appointment as Executive Director, Mr. Sabharwal was General Counsel for approximately five years. Mr. Sabharwal began with the ASC as Litigation Counsel in the Enforcement division, and subsequently worked in the Office of the General Counsel first as Legal Counsel and then the Associate General Counsel. Before joining the ASC in June 2005, Mr. Sabharwal was Legal Counsel at the Financial Services Commission of Ontario (now, the Financial Services Regulatory Authority of Ontario), where he provided legal advice on issues related to the regulation of the financial services sector, including the development of enforcement policies and the amendment of statutes and regulations, and appeared before tribunals, arbitrators and the Ontario courts in administrative, civil and quasi-criminal proceedings. Mr. Sabharwal was called to the Ontario bar in 2000, and the Alberta bar in 2004. He articled with and was an associate lawyer at Pinkofsky Lockyer in Toronto prior to moving to Calgary and joining the ASC. Mr. Sabharwal obtained a Bachelor of Laws from Osgoode Hall Law School in Toronto, Ontario. |

Peter Tertzakian Peter Tertzakian is an energy economist, author, entrepreneur and podcaster with more than 35 years of experience in the business of energy — from oil and gas to renewables. Known for delivering presentations that spark discussion on some of today’s most important topics, he is frequently called on to share his knowledge of strategic issues with investors, corporate leaders, policymakers and educators around the world. A respected industry leader, Mr. Tertzakian is the founder of the ARC Energy Research Institute. In 2020, he launched Energyphile, a research-based project exploring energy’s past, present and future. And, in 2023, he founded Studio.Energy, an initiative dedicated to mentoring the next generation of leaders to address the world’s complex energy challenges. He currently sits on the board of the National Gallery Foundation in Ottawa. Mr. Tertzakian is also a storyteller at heart, using a creative approach to distil, clarify and communicate complicated issues regarding energy, economics and the environment. He’s written two international bestsellers — “A Thousand Barrels a Second” and “The End of Energy Obesity.” His most recent book, “The Investor Visit and Other Stories,” is a collection of creative non-fiction stories exploring how our energy past can help us navigate our energy future. Bryce C. Tingle, KC N. Murray Edwards Chair in Business Law, Faculty of Law, University of Calgary Bryce Tingle holds the N. Murray Edwards Chair in Business Law at the University of Calgary and currently serves as the board chair of several private technology and asset management companies. He became an ASC Commission Member in May 2022 and serves on the ASC’s Audit Committee. Mr. Tingle has more than 30 years experience as a corporate finance lawyer, initially in private practice, then as the general counsel of large internationally-focused technology and energy companies. He has been Director of the Financial Markets Regulation Programme at the University of Calgary’s School of Public Policy, a member of the Ontario Securities Commission’s Exempt Markets Committee and the ASC’s Securities Advisory Committee. He has law degrees from the University of Alberta, Osgoode Hall and Duke University and was twice named one of the University of Calgary’s peak scholars. Mr. Tingle’s academic research focuses on corporate governance and entrepreneurial law. |

Denise Weeres Denise Weeres has served as Director, Corporate Finance at the ASC since October 2021. In this role, Ms. Weeres oversees the division responsible for regulation of issuers participating in Alberta’s capital market, including corporate issuers and investment funds raising money publicly or privately. The division develops rules and policies and administers them, i.e. reviews offering documents, continuous disclosure documents, and insider and control person reporting. Staff make recommendations respecting discretionary exemptions from securities law and engage in oversight of the TSX Venture Exchange. Specialized teams focus on priority issues such as oil and gas reserves and resources disclosure and the broader energy sector; environmental, social and governance (ESG) disclosure; M&A including contested takeover bids and proxy contests; and explore ways to best facilitate capital formation in Alberta through education, engagement and regulatory innovation. |
